Also, consider adding a clause that allows early termination if a competitor’s technology significantly outperforms and you want to pivot – even if you don’t expect to use it, it signals to Mistral that they must continue innovating to keep your business. If Mistral wants a termination fee for early exit, negotiate it down or tie it to not meeting certain performance goals.
  • Migration and Interoperability: Given the pace of AI, you might incorporate terms about transition flexibility. For example, can you reduce your Mistral usage commitment if you decide to move to a different model or platform later? Or can you transfer from their cloud service to a self-hosted model license (or vice versa) mid-contract? Try to get a conversion clause: e.g., any remaining subscription value can be applied to a self-host license purchase if you switch deployment models. This way, if your strategy shifts (say, from cloud to on-prem for cost or privacy reasons), you don’t lose all sunk costs.
  • Relationship Bundling: If your organization does business with Mistral’s partners or investors, you might use that for leverage.   • Termination Rights: Ensure you have the right to terminate the contract under clear conditions – e.g., for convenience with notice (possibly with a minimum term or a wind-down fee) and cause with immediate effect if Mistral materially breaches (e.g., a severe SLA or security breach). Try to avoid heavy lock-in penalties. If you must agree to a minimum term or payment, negotiate it as low as possible or include an offset if you move to another of Mistral’s offerings (as mentioned above, e.g., terminate cloud service but roll the remaining value into a self-host license).
  • Data Portability: One of the most crucial exit considerations is getting your data out. Suppose you’ve logged prompts, chat histories, fine-tuning datasets, or any other data in Mistral’s systems. In that case, the contract should obligate Mistral to provide that data back to you in a usable format upon termination. For example: “Upon termination, Mistral will provide Customer’s prompt logs, fine-tuning training data, and model output archives within 30 days in a mutually agreed format.” Without this, you risk losing valuable information you may need for compliance or bootstrapping a new system. Similarly, if you built a fine-tuned model on Mistral’s platform, negotiate the right to download the weight files (or at least have them handed over in some form) when the contract ends, especially if the base model is one you have rights to use outside (e.g., an Apache-licensed model).
  • Data Deletion and Retention: Hand-in-hand with portability is deletion. The contract should state that after a certain period post-termination, Mistral will delete all your data from their systems (except any data they must retain by law, and even then, only for that purpose). This includes any backups or logs. If zero data retention mode was used, there may be little to delete, but having a clause for this is good hygiene. Additionally, ensure any derived data is addressed. For example, what would happen to those model improvements if you allowed Mistral to train on some of your data? Ideally, you’d require that any of your proprietary data be deleted from their training sets as well (though note, if they mingled it into model weights, actual deletion is complicated, which is why disallowing training use from the start is safer).
  • Ongoing Use of Outputs and Models: You retain the right to use any outputs or custom models created during the term, even after termination. For outputs, this should be straightforward (you own them, as established earlier). Ensure the contract grants you a license to continue using the model weights internally post-contract for custom fine-tuned models. Suppose the base model was under a Mistral commercial license that terminates. In that case, you might need a special provision, e.g., a perpetual license for the specific fine-tuned instance or a right to convert it to an open model if available. This can be nuanced – if the base is open (Apache), you automatically can keep using the fine-tune; if the base was only under license, negotiate at least a runtime right or a transition period to cover this gap. The worst-case scenario to avoid is that you invest in customizing a model and then lose the rights to use that customized model when you switch vendors.
  • Transition Assistance: For mission-critical deployments, consider a clause for transition assistance. This might obligate Mistral to provide reasonable help (at agreed rates or for free, depending on negotiating power) for a short period to ensure you can migrate off their service. It could include answering questions from your new provider or cooperating on transferring knowledge. While you may not always get this, it’s worth asking, particularly if the solution is complex.
  • Escrow or Source Code Access: Traditional software deals sometimes involve source code escrow. For AI models, if you are deeply invested and the model is proprietary, you might discuss an escrow of model weights – meaning if Mistral goes out of business or fails to meet obligations, the model weights could be released to you to run on your own. This is still a novel area for AI contracts, but for a critical model, it’s worth pondering. At a minimum, make sure the contract does not prevent you from using functionally equivalent technology in the future. No non-compete or non-use clause should stop you from building or buying a similar model from elsewhere if the contract ends.
  • Retained Rights and Residuals: Some contracts have “residuals” clauses, allowing the vendor to use the general knowledge gained. Try to eliminate or narrow this for an AI deal – you don’t want a scenario where Mistral can claim they learned from your data or experts and can use that knowledge with your competitors. Also, ensure any license back to Mistral (for your feedback or suggestions) is limited. When the contract is over, neither party should use the other’s IP beyond the termination date (except as needed to wrap up or as explicitly allowed for you to use outputs/models). Having clear language here prevents disputes later.

The result should be a flexible partnership that supports your innovation goals on your terms.
